Duties of the Vice President. The Vice-President shall assume the duties of President in the absence of the President, and shall serve as assistant to the President in his/her efforts for the good of the organization. The Vice-President shall chair meetings of the Board in the absence of the President, and shall assume the office of the President in the event of resignation, disability or death of the President.

Any Vice President may sign and execute in the name of the Company certificates, deeds, mortgages, bonds, contracts or other instruments authorized by the Board of Managers, except where the signing and execution of such documents shall be expressly delegated by the Board of Managers or the President to some other officer or agent of the Company or shall be required by law or otherwise to be signed or executed by some other officer or agent.
