Duties of the Vice President. The Vice-President shall assume the duties of President in the absence of the President, and shall serve as assistant to the President in his/her efforts for the good of the organization. The Vice-President shall chair meetings of the Board in the absence of the President, and shall assume the office of the President in the event of resignation, disability or death of the President.

Duties of the Vice President. In the event of the absence of disability of the Chairman of the Board and the President, the Executive or Senior Vice President, if any, or if absent, any Vice President designated by the Board of Directors, shall perform all the duties of the President, and when so acting, shall have all the powers of, and be subject to all the restrictions upon, the President. Except where by law the signature of the President is required, each of the Vice Presidents shall possess the same power as the President to sign all certificates, contracts, obligations and other instruments of the Corporation.
