Distribution Management. The Distributor shall establish and maintain an adequate and efficient network to maximise the distribution and sale of the Products in the Territory. The Distributor shall be responsible for selling the Product to the End Customers through such network in time. The Distributor shall ensure that there is a proper channel of communications with End Customers. The Distributor shall prepare and put in place for the Territory a distribution and sales plan, which shall be fully discussed and agreed with by Principal before its implementation. The Distributor shall use its best endeavours for the marketing of the Products in the Territory in order to maintain and increase sales of the Products. Except for any fees specifically stated in this Agreement to be borne by Principal, the Distributor shall bear all the costs, charges, fees or other expenses which it may incur in connection with or arising out of its performance of its duties under this Agreement, ie. any sales discounts or rebates paid to End Customers in relation to the sale of the Products.

Distribution Management. We entered into a framework distribution management agreement with Xxxxx Xx Xx Xx and Shandong NVC, associates of our Founder, as at 20 April 2010. Pursuant to this agreement, Sheng Di Ai Si and Shandong NVC sell residential luminaire products produced by them through our distribution network. Xxxxx Xx Xx Xx and Shandong NVC agreed to pay us six to eight percent, respectively, of their sales through our distribution network as distribution commission. Given that revenue received under the distribution management agreement only constitutes a small portion of our total revenue during the Track Record Period, our Directors are of the opinion that we do not rely on such distribution management arrangements and therefore termination of the distribution management agreements will not substantially affect our business and results of operation.

  • Account Management 15.1 The Contractor is required to provide a dedicated Strategic Account Manager who will be the main point of contact for the Authority.   • Agent’s Management Time Any amount payable to the Agent under Clause 14.3 (Indemnity to the Agent), Clause 16 (Costs and expenses) and Clause 25.10 (Lenders’ indemnity to the Agent) shall include the cost of utilising the Agent’s management time or other resources and will be calculated on the basis of such reasonable daily or hourly rates as the Agent may notify to the Parent and the Lenders, and is in addition to any fee paid or payable to the Agent under Clause 11 (Fees).
