Customer Systems and Cooperation. Customer shall at all times during the Term: (a) set up, maintain and operate in good repair and in accordance with the Specifications all Customer Systems on or through which the Services are accessed or used; (b) provide Provider Personnel with such access to Customer's premises and Customer Systems as is necessary for Provider to perform the Services in accordance with the Availability Requirement and Specifications; and (c) provide all cooperation and assistance as Provider may reasonably request to enable Provider to exercise its rights and perform its obligations under and in connection with this Agreement.

Customer shall at all times during the Term: (a) set up, maintain, and operate in good repair all Customer Systems on or through which the Solutions are accessed or used; (b) provide CentralSquare Personnel with such access to Customer's premises and Customer Systems as is necessary for CentralSquare to perform the Support Services in accordance with the Support Standards and Specifications; and (c) provide all cooperation as CentralSquare may reasonably request to enable CentralSquare to exercise its rights and perform its obligations under and in connection with this Agreement.

Customer shall at all times during the Term: (a) set up, maintain and operate in good repair and in accordance with the specifications set out in the Documentation the systems on or through which the Services are accessed or used; (b) on reasonable notice provided by Hudl and with the agreement of Customer and Authorised Users, provide or procure Hudl personnel with such access to Customer’s premises and Customer Systems as is reasonably necessary for Hudl to perform the Services; (c) provide all cooperation and assistance as Hudl may reasonably request to enable Hudl to exercise its rights and perform its obligations under and in connection with this Agreement; and (d) provide Hudl or its subcontractors with access to Customer’s physical facilities to install any Licensed Hardware.

Customer shall at all times during the Term: (a) set up, maintain and operate in good repair all Customer Systems on or through which the Hosting Services are accessed or used; and (b) provide all cooperation and assistance as CribMaster may reasonably request to enable CribMaster to exercise its rights and perform its obligations under and in connection with these Terms and Conditions.

Provider is not responsible or liable for any delay or failure of performance caused in whole or in part by Customer’s delay in performing, or failure to perform, any of its obligations under this Agreement (each, a “Customer Failure”).
Customer Systems and Cooperation. Customer is responsible and liable for all uses of the Services and Documentation resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement.

Customer shall at all times during the Term (a) set up, maintain, and operate in good repair all Customer’s information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems), and networks, (“Customer Systems”) on or through which the Software is used, and (b) provide all cooperation and assistance as eFileCabinet may reasonably request to enable eFileCabinet to exercise its rights and perform its obligations under and in connection with this Agreement. If Customer becomes aware of any actual or threatened activity prohibited by Section 2.2, Customer shall, and shall cause its Users to, immediately notify eFileCabinet of any such actual or threatened activity, and take all reasonable and lawful measures within its respective control that are necessary to stop the activity or threatened activity and to mitigate its effects.

Customer shall at all times during the Term: (a) set up, maintain and operate in good repair and in accordance with the Specifications all Customer Systems on or through which the Services are accessed or used; (b) provide HP Personnel with such access to Customer·VSystems as is necessary for HP to perform the Services in accordance with the Availability Requirement (as defined below in Section 5.1) and Specifications; and (c) provide all cooperation and assistance as HP may reasonably request to enable HP to exercise its rights and perform its obligations under and in connection with this Agreement.
