Because of the contract’s nature as a continuing obligation and the expectations of trust from both parties, the right to rescind is usually replaced by a right to extraordinarily terminate the con- tract, if a reason for termination exists. Where there is termination for non-performance of one element of the outsourcing agreement, the validity of the rest of the contract depends on whether the various obligations were meant to be in- terdependent, as construed in accordance with the parties’ inten- tions. The exact nature and requirements of these rights depend on the classification of the individual contract provision.
