Copies of Plans. Exhibit 2.18(a) lists: each Welfare Benefit Plan; each Pension Benefit Plan, related trust agreements, annuity contracts, insurance contracts, and other funding arrangements; each plan, agreement, arrangement, and commitment referred to in subsection (e) of this Section; favorable determination letters; annual reports (Form 5500 series) required to be filed with any governmental agency for each Welfare Benefit Plan and each Pension Benefit Plan for the most recent three plan years, including, without limitation, all schedules thereto and all financial statements with attached opinions of independent accountants; current summary plan descriptions; and actuarial reports as of the last valuation date for each Pension Benefit Plan that is subject to Title IV of ERISA.

Copies of Plans. True and accurate copies of each Employee Benefit Plan together with all current trust agreements, the most recent annual reports on Form 5500, the most recent financial statements, the most recent actuarial reports, all IRS favorable determination letters, all current summary plan descriptions and summaries of material modifications for such plans have been furnished to the Buyer. In the case of any unwritten Employee Benefit Plan, a written description of such plan has been furnished to the Buyer. All amendments required to bring any Employee Benefit Plan into conformity with any applicable provisions of ERISA and the Code have been duly adopted.

Copies of Plans. The Company has made available to Purchaser true and complete copies of the following: (i) the plan document reflecting each Employee Benefit Plan (including all amendments thereto); (ii) any employee handbook describing Employee Benefit Plans; (iii) the most recent summary plan description, together with the summary of material modifications, if required under ERISA; (iv) if such Employee Benefit Plan is funded through a trust or any third-party funding vehicle, any trust or other funding agreements (including all amendments thereto) and the latest financial statements thereof; (v) where applicable, any custodial agreements, insurance policies, administration agreements, and investment management or investment advisory agreements; (vi) with respect to each Employee Benefit Plan that is intended to be qualified under Section 401 of the Code, the most recent determination letter received from the Internal Revenue Service; (vii) in the case of any Employee Benefit Plan for which Forms 5500 are required to be filed, the most recently filed Forms 5500, with schedules attached; and (viii) copies of all material notices, letters, or other correspondence from the Internal Revenue Service, the Department of Labor or the Pension Benefit Guaranty Corporation (the “PBGC”) relating to the Employee Benefit Plan.

Seller has delivered to Purchaser true and complete copies of: the following: (i) each Employee Plan (including all amendments thereto); (ii) the annual report (if required under ERISA) with respect to each Employee Plan for the past two years; (iii) the most recent summary plan description, together with the summary of material modifications, if required under ERISA, with respect to each Employee Plan; (iv) if such Employee Plan is funded through a trust or any third-party funding vehicle, a copy of the trust or other funding agreements (including all amendments thereto) and the latest financial statements thereof; and (v) the most recent determination letter received from the IRS with respect to each Employee Plan that is intended to be qualified under Section 401 of the Code.
