  • Governing Law; Jurisdiction; Venue This Agreement and all acts and transactions hereunder and all rights and obligations of Silicon and Borrower shall be governed by the laws of the State of California. Whenever the consent of Lender is required under this Agreement, the granting of such consent by Lender in any instance shall not constitute continuing consent to subsequent instances where such consent is required and in all cases such consent may be granted or withheld in the sole discretion of Lender.

  • GOVERNING LAW; VENUE; CONSENT TO JURISDICTION This Agreement is to be governed by and construed in accordance with the laws of the State of Oregon without regard to principles of conflicts of law.
