Conditional Acceptance. All goods, when delivered to Xxxx Aerospace by the Vendor, or otherwise received by Xxxx Aerospace will be considered only to be conditionally accepted by Xxxx Aerospace. All goods, once in the possession of the Buyer, will be either accepted or rejected by the Buyer or Xxxxx’s customer. The Buyer will only expressly convey rejection of the goods furnished by the Vendor. Specifically, all goods will be conditionally accepted by the Buyer, and may be expressly rejected within a reasonable amount of time by the Buyer. If the Buyer does not convey express rejection of the goods within a reasonable amount of time after delivery of the goods to the Buyer, the goods will be deemed to be accepted by the Buyer. Notice of rejection of goods will be conveyed by means of letter, fax, email, Rejection Report, or any other express method considered reasonable by the Buyer. If the goods are deemed accepted by the Buyer or Buyer’s customer, the Buyer will hereby accept the transfer of ownership of the goods and will assume full legal liability for the goods herein. In either case, ownership of the goods remains with the Vendor until such time that the goods have been accepted or expressly rejected by Xxxx Aerospace, though transfer of possession of the goods to the Buyer may have already occurred.
Conditional Acceptance. Conditional acceptance shall be accomplished only by the District’s manager and/or engineer, if applicable, affixing his or their signatures to the Agreement in the space provided for on page 9. As of the date of conditional acceptance, all of Applicant’s right, title and interest in and to the Project, including but not limited to, all mains, pipelines, manholes, and related parts and materials which compromise the Project, shall automatically and immediately pass to and be conveyed to the District with no additional transfer proceedings or documents being necessary; provided, however, that the Applicant’s shall remain obligated to perform said Applicant’s warranty, maintenance and repair obligations for a period of one (1) year from the date of conditional acceptance or until the Project is finally accepted by the District, whichever period is longer.
Conditional Acceptance. 1.1.Unless otherwise agreed to and accepted by Vitrum Industries Ltd. and/or Vitrum Glass Ltd. (“Vitrum”), any Quote (a “Quote”) issued by Vitrum may be accepted by Buyer only for a period of fourteen (14) days from the date the Quote is issued. Xxxxx’s attempted acceptance of a Quote after this period creates no obligation on Vitrum unless subsequently accepted by Vitrum in writing. “
Conditional Acceptance. Before accepting an instruction to issue a Guarantee, the Bank is entitled to consider such instruction with respect to its feasibility under legal, economical and policy aspects and to refuse acceptance, as the case may be.
Conditional Acceptance. The District will conditionally accept the Project after the District engineer determines that the Project has been constructed and connected into the District's sanitary sewer (and underdrain)* collection system in accordance with the approved plans, construction notes and specifications, and after the District has received certified compaction test results, certified in-place costs, sepia mylar record drawings, easements and bill of sale for the entire Project. Conditional Acceptance shall be effective as of the date the District's manager and engineer affix their signatures in the space(s) provided on Exhibit B. No taps, except stub-ins specifically identified on Exhibit C, or physical connections to the Project shall be allowed, nor will permits be issued for such connections, until the District has conditionally accepted the Project as herein provided.
Conditional Acceptance. Coffeyville shall have no authority to bind Vitol to, or enter into on Vitol’s behalf, any Third Party Contract. If Coffeyville has negotiated an offer from a Counterparty for a quantity of Crude Oil that Coffeyville wishes to have Vitol acquire, Coffeyville may indicate to such Counterparty the conditional acceptance of such offer, which conditional acceptance shall be specifically subject to obtaining the agreement of Vitol to such offer. Promptly after giving such conditional acceptance, Coffeyville shall apprise Vitol in writing of the terms of such offer, and Vitol shall promptly determine and advise Coffeyville as to whether Vitol agrees to accept such offer. If Vitol indicates its desire to accept such offer, then Vitol shall promptly formally communicate its acceptance of such offer directly to such Counterparty (with a copy to Coffeyville), resulting in a binding Third Party Contract between Vitol and such Counterparty.
Conditional Acceptance. Buyer and Supplier may mutually agree to a “Conditional Acceptance” of FAT or SAT under the following circumstances:
Conditional Acceptance. 25.2.1 Despite clauses 25.1.2(e) and 25.1.2(f), Health may agree to conditional Acceptance.
Conditional Acceptance. In the event that commercial service has not yet commenced, ATP -- Conditional Acceptance for a System or System Expansion shall occur when Motorola has completed and passed, to mutual agreement, the applicable ATP tests. ATP -- Conditional Acceptance shall not be delayed because of minor (level 4 or below) test failures. Such defects may be placed on the punchlist for later resolution. In the event of major test failures caused by level 6 or above defects, completion of the ATP will be delayed until each such defect is corrected and the item retested. Defects caused by systemic Software issues that are not service affecting are covered under the Software Maintenance Program (SMP).
Conditional Acceptance. E.14.1 prior to successful completion of FAT, any units accepted by the Government shall be as a conditional acceptance. The Contractor may with conditional acceptance bill for up to 95% of the per unit CLIN amount. Following successfully passing FAT and having retrofit any units produces prior to FAT approval the Contractor may submit the units for final approval. Retrofit effort, in any, is to be completed within 60 days of FAT notification.
