Compliance with FCC Rules. The parties agree to comply with all of the rules, regulations, policies, decisions of the FCC, both currently and as may be adopted in the future, as well as any other applicable laws, including the Communications Act (collectively, “Communications Laws”) for the spectrum usage rights associated with FCC license authorization for Call Sign WQQE234.
Compliance with FCC Rules. (a) Notwithstanding any other provision in this Agreement, the parties hereto shall at all times comply with, and all provisions of this Agreement shall be subject to, all applicable rules and regulations of the FCC, including but not limited to approval by the FCC prior to the acquisition of any B-PCS License and to the restrictions on spectrum aggregation set forth in Section 20.6 of the FCC rules, and the parties hereto shall cooperate in the preparation and filing of all necessary applications with the FCC.
Compliance with FCC Rules. Notwithstanding anything in this Management Agreement to the contrary, both Parties agree that if any provision shall be deemed to be inconsistent with or in violation of the FCC's rules, such provision shall be null and void. In such event, both Parties agree to use best efforts to modify the offending provision to conform to the FCC rules while preserving the essential benefits of this Management Agreement to each party.
Compliance with FCC Rules. The Company shall, and shall cause each of its Subsidiaries to, operate its business in compliance in all material respects with all FCC Rules, including all FCC Rules relating to the sunset of the Cellular Radiotelephone Service Analog Service Requirement and related requirements, and shall use its reasonable best efforts to maintain in full force and effect and, to the extent applicable, renew, the FCC Licenses. The Company shall, promptly after the execution of this Agreement, provide Buyer with copies of any Deployment Requests it has received on or prior to the date of this Agreement, and promptly upon receipt provide Buyer with copies of any Deployment Requests and any notifications received by it or any of its Affiliates from the FCC informing such Person that any of the certifications described in Section 2.8(g) is unacceptable or results in a change to the Cellular Geographic Service Area of the applicable FCC License that are received by the Company or any of its Affiliates after the date hereof. If the Company receives any such notification, it shall promptly use its reasonable best efforts to take all necessary actions to preserve such Cellular Geographic Service Area.
Compliance with FCC Rules. Notwithstanding any other provision in this Agreement, the parties hereto shall at all times comply with, and all provisions of this Agreement shall be subject to, all applicable rules and regulations of the FCC, including but not limited to approval by the FCC prior to the acquisition of any B-PCS License and to the restrictions on spectrum aggregation set forth in Section 20.6 of the FCC rules, and the parties hereto shall cooperate in the preparation and filing of all necessary applications with the FCC. To the extent that (i) any party hereto or an Affiliate thereof, jointly pursuant to the Joint Venture Agreement or individually, desires to enter into a binding agreement to acquire a license issued by the FCC to provide Wireless Services or to manage or operate a system providing Wireless Services and (ii) such acquisition, operation or management would be prevented due to the restrictions on spectrum aggregation set forth in Section 20.6 of the FCC rules, then the parties shall, for a period of not less than 15 business days, cooperate in good faith to consider, but (except as set forth in Section 8.01 of the Joint Venture Agreement) shall not be obligated to take, such action as may be necessary to render the restrictions of Section 20.6 inapplicable to such acquisition, operation or management.
