Compliance by Company. The Company has, so far as the Vendor is aware, complied and are continuing to comply in all material respects with all relevant legislation and regulations and guidelines in any part of the world applicable to them and/or their business and/or their assets.
Compliance by Company. Each Shareholder shall use his, her or its best efforts to cause Company to perform and comply with all of Company’s agreements and obligations under this Agreement and the other documents or instruments executed and delivered by Company pursuant hereto.
Compliance by Company. Each Shareholder agrees to cause the Company to perform all acts which may be required of the Company under the provisions of this Agreement, including but not limited to the provisions of Section 8.5 (Right of First Refusal to TST) and Article 14 (Secrecy) hereof. A copy of this Agreement shall be filed in the records of the Company and the Shareholders shall cause the Company to be bound by all provisions applicable to it.
Compliance by Company. The Company undertakes to carry out and be bound by the provisions of this Agreement to the full extent that it has the capacity and power at law to do so.
Compliance by Company. 8.1. The Company shall at all times comply with and be subject to any ordinance and all ordinances of the City now or hereafter in existence, relating to the use and appearance of the said streets, alleys, sidewalks, bridges, easements and other public ways and places except to the extent that such ordinance(s) are inconsistent with the terms of this Franchise Agreement, inconsistent with state or federal laws or have the effect of unilaterally modifying this Franchise Agreement.
Compliance by Company. 5.1 Subject to applicable law, the Company will, and will cause its Subsidiaries to, carry out and be bound by the provisions of this Agreement.
Compliance by Company. The directors, officers, employees and agents of the Company shall observe and comply with this Agreement, and any material breach of this Agreement uncured within a period of 10 working days after notice of the breach shall be deemed to be a breach by the Company.
Compliance by Company. Company shall have complied with each and every covenant, undertaking and agreement to be kept or performed by Company as provided in this Agreement; and each representation and warranty made in this Agreement by Company shall remain true and accurate in all material respects both at the time made and on the Closing Date.
Compliance by Company. The Company undertakes to each Shareholder that it will observe and perform the provisions of this Agreement and the documents entered into pursuant to this Agreement.
Compliance by Company. The Company agrees that it will not make a payment of the Subordinated Indebtedness nor consent to or participate in any act whatsoever which payment or act is in violation of any of the provisions of this Agreement. The Company expressly acknowledges that any violation of any of the provisions of this Agreement by the Company is an Event of Default under each of the Senior Credit Agreement, the Senior Subordinated Note Purchase Agreement and the Junior Subordinated Note Purchase Agreement.
