Company’s Right to Redeem. Prior to August 20, 2014, the Notes will not be redeemable at the Company’s option. At any time on or after August 20, 2014 and prior to Stated Maturity, the Company, at its option, may redeem the Notes in accordance with the provisions of Section 3.02, Section 3.03 and Section 3.04 on the Redemption Date for cash, in whole or in part, at a redemption price (the “Redemption Price”) equal to 100% of the principal amount of the Notes to be redeemed together with accrued and unpaid Interest on the Notes redeemed to (but excluding) the Redemption Date.

No sinking fund is provided for the Notes. Provisions of this Annex that apply to redemption also apply to portions of the Notes called for redemption.
