Company Location. Within sixty (60) days following the Closing Date, Company, Nina Biosciences, Inc. or Santa Xxxxx Biosciences, Inc. (either alone or together) shall establish facilities in or around Thousand Oaks, California (the “Thousand Oaks Facilities”). At least one of Company, Nina Biosciences, Inc., or Santa Xxxxx Biosciences, Inc. shall be obligated to maintain such Thousand Oaks Facilities until the earliest of (a) two (2) years following the date of such establishment, (b) the end of the Term or (c) a Sale Transaction of Company. Promptly after the Closing Date, Amgen and Company shall work together to mutually identify appropriate personnel candidates to develop and commercialize the Product in the Territory. Company shall use commercially reasonable efforts to hire and retain such candidates. Company Location. Sionix' current headquarters is located in Santa Monica, California. From time to time it is understood that the headquarters location might change. The executive team will be expected to spend significant amounts of time meeting at that headquarters, regardless of place of residence. Executive will not be required to relocate his residence as a condition of employment. Should Sionix relocate further than fifty (50) miles from Executive’s residence, business travel for attendance at Sionix meetings will be at the expense of Sionix.

Company Location. It is expected that Zeros & Ones' headquarters will be established in Northern California. The executive team will be expected to spend significant amounts of time meeting at that headquarters, regardless of place of residence. Executive will not be required to relocate his residence as a condition of employment. Business travel for attendance at Zeros & Ones meetings will be at the expense of Zeros & Ones.
Company Location. Company will ensure that the Location of Company and each of its Affiliates receiving benefits under this Agreement or any other Microsoft Partner Network Agreement signed by Company or its Affiliates are at distinctly different addresses. The addresses used for the MPN must correspond to actual Locations of Company or its Affiliates, and may not be duplicative or misleading in any manner.
Company Location. Reach Messaging' current headquarters is located in Santa Monica, California. From time to time it is understood that the headquarters location might change. The executive team will be expected to spend significant amounts of time meeting at that headquarters, regardless of place of residence. Executive will not be required to relocate his residence as a condition of employment. Should Reach Messaging be located further than 50 miles from Executive’s residence, business travel for attendance at Reach Messaging meetings will be at the expense of Reach Messaging.
Company Location. Seller operates the Business out of the Location and no other location.
Company Location. Support Services will primarily be provided from Licensor’s offices. Company will provide Licensor open access to Company data that is reasonably necessary for Licensor to provide Support Services remotely. This access shall include direct access from Licensor’s offices, via hardware VPN utilizing a T1 connection, to production (read only), test (complete update privileges), and development (complete update privileges) environments at all times. Company will provide all software and hardware to accommodate such access. Licensor may make use of Company data in anonymized form for Licensor’s internal purposes in order to improve its products and services. For Support Services provided by Licensor on Company’s premises, Company will, to the extent requested by Licensor, supply workspace for Licensor personnel that includes phones, printers, and network connectivity with required third party software. Such workspace shall be in close proximity to Company’s personnel. Such workspace may be required by Licensor only to the extent Support Services cannot reasonably be performed remotely.
Company Location. The Buyer hereby agrees that substantially all of the Company’s executive operations will remain in Mountain View, California through December 31, 2017, unless relocation of the Company is mutually agreed upon by the Stockholders’ Agent and the Buyer.
Company Location. Following the Effective Time, Parent will use commercially reasonable efforts to maintain the surviving Corporation's operations in or around Salt Lake City, Utah; provided, however, that Parent shall not be restricted from relocating the operations of the Company if Parent's board of directors determines in good faith that it is in the best interests of Parent to relocate such operations.
