BY THE PROGRAM MANAGER. As a material inducement to entering into this ESA, the Program Manager hereby represents and warrants to Competitive Supplier and Municipality as follows: as of the date of execution of this ESA, this ESA constitutes a legal, valid and binding contract of Program Manager enforceable in accordance with its terms, subject to applicable law; as of the Effective Date of this ESA: the execution, delivery and performance of this ESA are within Program Manager's powers, have been or will be duly authorized by all necessary action; Program Manager has all authorizations from any local or state Governmental Authority necessary for it to legally perform its obligations under this ESA or will obtain such authorizations in a timely manner prior to when any performance by it requiring such authorization becomes due; and no Bankruptcy is pending or threatened against Program Manager.

  • Program Manager Owner may designate a Program Manager to administer the Project and this Contract. In lieu of a Program Manager, Design Professional may be designated to perform the role of Program Manager. The Program Manager may also be designated as the Owner’s Representative, and if no Owner’s Representative is designated, the Program Manager shall be the Owner’s Representative.

  • Program Management 1.1.01 Implement and operate an Immunization Program as a Responsible Entity

  • Quality Assurance Program An employee shall be entitled to leave of absence without loss of earnings from her or his regularly scheduled working hours for the purpose of writing examinations required by the College of Nurses of Ontario arising out of the Quality Assurance Program.

  • Required Procurement Procedures for Obtaining Goods and Services The Grantee shall provide maximum open competition when procuring goods and services related to the grant-assisted project in accordance with Section 287.057, Florida Statutes.
