Brokers or Agents. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction based upon any agreement or understanding alleged to have been made by such person directly or indirectly with any Selling Company or, if applicable, any of the Selling Companies’ officers, stockholders, employees or Affiliates, in connection with any of the Transaction.
Brokers or Agents. Except as set forth on Schedule 4.7, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transactions based upon any agreement or understanding alleged to have been made by such Person directly or indirectly with the Purchaser or its Affiliates, or, if applicable, any of the Purchaser’s or its Affiliate’s respective officers, directors or employees, in connection with any of the Transactions.
Brokers or Agents. No Seller nor any Acquired Subsidiary has employed or dealt with any brokers, consultants or investment bankers in connection with the transactions contemplated hereby, other than brokers, consultants or investment bankers, the fees, commissions and expenses of which shall be payable by Sellers.

None of any Purchaser, Purchaser Parent or US Purchaser has employed or dealt with any brokers, consultants or investment bankers in connection with the transactions contemplated hereby, other than brokers, consultants or investment bankers, the fees, commissions and expenses of which shall be payable by Purchasers, Purchaser Parent or US Purchaser.
Brokers or Agents. Seller has not employed or dealt with any brokers, consultants or investment bankers in connection with the transactions contemplated hereby, other than Alliance Management, whose fees and expenses are payable by Seller.
Brokers or Agents. Biogen has not employed any broker or ----------------------- agent in connection with the transactions contemplated by this Agreement and agrees to indemnify Targeted against all Damages (as defined in Section 8.2(a) of this Agreement) relating to or arising out of claims for fees or commission of any broker or agent employed by Biogen.
Brokers or Agents. Buyers have not employed or dealt with any brokers, consultants or investment bankers in connection with the transactions contemplated hereby for which Sellers or Navarre will have any liability.
Brokers or Agents. Except as set forth in Section 3A.5 of the Shareholder Disclosure Schedule, such Shareholder has not employed any broker or agent in connection with the transactions contemplated by this Agreement and agrees to indemnify the Parent against all losses, damages or expenses relating to or arising out of claims for fees or commission of any broker or agent employed by such Shareholder.
Brokers or Agents. Such Principal Stockholder has not employed any broker or agent in connection with the transactions contemplated by this Agreement and agrees to indemnify LION against all losses, damages or expenses relating to or arising out of claims for fees or commission of any broker or agent employed by such Principal Stockholder.
Brokers or Agents. Except for Xxxxxxxx Xxxxx (whose fees shall be borne exclusively by Navarre and the Sellers) neither Navarre nor Sellers have employed or dealt with any brokers, consultants or investment bankers in connection with the transactions contemplated hereby.
