Bailee Waivers. Within sixty (60) days of the Closing Date (or such later date approved by Administrative Agent), the Borrower shall use commercially reasonable efforts to obtain and deliver to Administrative Agent a bailee waiver for each location for which a bailee arrangement is in place, which agreements shall be reasonably satisfactory in form and substance to Administrative Agent.

Bailee Waivers. If any Inventory of any of the Borrowers or any of their Subsidiaries is located in a public warehouse or other facility under the control of a third Person, each such Person shall have executed a bailee waiver or entered into other appropriate arrangements that are satisfactory to the Agent.
Bailee Waivers. Within 60 days after the Effective Date, each Loan Party, as applicable, shall use commercially reasonable efforts to obtain a bailee waiver from the bailee with respect to any warehouse, processor or converter facility or other location where Collateral is stored or located, which agreement or letter shall provide access rights, contain a waiver or subordination of all Liens or claims that the bailee may assert against the Collateral at that location, and shall otherwise be reasonably satisfactory in form and substance to the Lender.
