AUTHORISED SUBCONTRACTORS. Customer agrees that Automile may use subcontractors to fulfil its contractual obligations under this Agreement or to provide certain services on its behalf, such as providing support services. Automile shall inform Customer of the name(s) of the subcontractor(s) Automile is using, or plans to use, from time to time and what kind of service the subcontractor performs. The subprocessor, which Automile is currently using, are set forth in Exhibit 2. Customer shall have the right to prevent Automile from using the services of such subcontractor with regard to Customer Data.

AUTHORISED SUBCONTRACTORS. Customer agrees that AWS may use subcontractors to fulfil its contractual obligations under this Addendum or to provide certain services on its behalf, such as providing support services. The AWS website lists subcontractors that are currently authorized by AWS to access Customer Data. At least 30 days before AWS authorizes and permits any new subcontractor to access Customer Data, AWS will update the applicable website. If Customer does not approve of a new subcontractor, then without prejudice to any termination rights Customer has under the Agreement and subject to the applicable terms and conditions, Customer may move the Customer Data to another AWS Region where the new subcontractor who is not approved by Customer is not an authorized subcontractor. Customer hereby consents to AWS’s use of subcontractors as described in this Section 7. Except as set forth in this Section 7, or as Customer may otherwise authorize, AWS will not permit any subcontractor to access Customer Data.
AUTHORISED SUBCONTRACTORS. Customer agrees that Planon may use other processer(s) (“Subcontractor”) to fulfil its contractual obligations under the Agreement. Customer hereby consents to Planon’s use of the Subcontractors listed under Annex 4 hereto, and as described in this article. Planon shall inform Customer of any intended changes concerning the addition or replacement of any Subcontractor. The Customer shall be entitled to object to such changes – for a compelling reason – vis-à-vis Planon in due course.

  • Vendor’s Subcontractors TIPS recognizes that many vendors operate in the open market through the use of subcontractors. For that reason, TIPS permits Vendor to utilize subcontractors as authorized and permitted by the TIPS Member Customer. However, all purchase documents must include: (1) Vendor’s Name, as known to TIPS, and; (2) Vendor’s TIPS Contract Name and Number under which it is making the TIPS Sale. Vendor must report the sale pursuant to the terms herein and Vendor agrees that it is legally responsible for all reporting and fee payment as described herein for TIPS Sales even when subcontractors are utilized. The TIPS Administration Fee is assessed on the amount paid by the TIPS Member to Vendor. The Parties intend that Vendor shall be responsible and for actions of subcontractors during a TIPS Sale. Vendor agrees that it is voluntarily authorizing subcontractors and in doing so, Xxxxxx agrees that it is doing so at its own risk and agrees to protect, indemnify, and hold TIPS harmless in accordance with Sections 14-17 above related to subcontractor TIPS Sales made pursuant to this Agreement or purporting to be made pursuant to this Agreement that may be asserted against Vendor whether rightfully brought or otherwise. The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses. The Contractor may contact the OSD at xxxxxxx@xxx.xxxxxxxxx.xxx for information on certified small business enterprises available for subcontracting opportunities.

  • POTENTIAL SUBCONTRACTORS Nothing contained in this Agreement or otherwise, shall create any contractual relation between the STATE and any subcontractors, and no subcontract shall relieve the PURCHASER of his responsibilities and obligations hereunder. The PURCHASER agrees to be as fully responsible to the State for the acts and omissions of its subcontractors and of persons either directly or indirectly employed by any of them as it is for the acts and omissions of persons directly employed by the PURCHASER. The PURCHASER’S obligation to pay its subcontractors is an independent obligation from the STATE’S obligation to make payments to the Contractor. As a result, the STATE shall have no obligation to pay or to enforce the payment of any moneys to any subcontractor.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. The Commissioner reserves the right to reject any proposed subcontractor, assignee or supplier for bona fide business reasons, which may include, but are not limited to: that the proposed transferee is on the Department of Labor’s list of companies with which New York State cannot do business; the Commissioner determines that the company is not qualified; unsatisfactory contract performance or service has been previously provided; or attempts were not made to solicit minority and women’s business enterprises (M/WBE) bidders for the subcontract.
