Assignment by Borrowers. None of the Borrowers shall assign or transfer any of its rights or obligations under any of the Loan Documents without the prior written consent of each of the Banks.

Assignment by Borrowers. The Borrowers shall not assign or transfer any of their rights or obligations under any of the Loan Documents without the prior written consent of each of the Lenders; provided, that notwithstanding the foregoing, each Borrower may, at any time and from time to time, assign or otherwise transfer to one or more of the other Borrowers, its obligations, as “primary obligor” for any Obligations under any Loan Document; provided further that no such assignment or transfer shall have any impact whatsoever on any Borrower’s joint and several liability (as set forth in §6.12 and elsewhere in this Credit Agreement) for all Obligations.
