ARTICLES OF INCORPORATION AND REGULATIONS. The Amended and Restated Articles of Incorporation and Code of Regulations of FirstMerit, attached hereto as Exhibit 1.1.4, in effect immediately prior to the Effective Time will be the Amended and Restated Articles of Incorporation and Regulations of the Surviving Corporation after the Effective Time, until duly amended in accordance with their respective terms and the OGCL.
ARTICLES OF INCORPORATION AND REGULATIONS. The Articles of Incorporation of Peoples Bank, as in effect at the Effective Time, shall be the Articles of Incorporation of the Surviving Bank, until they shall be thereafter altered, amended, or repealed in accordance with law. Until amended or repealed as therein provided, the Regulations of Peoples Bank in effect at the Effective Time shall be the Regulations of the Surviving Bank.
ARTICLES OF INCORPORATION AND REGULATIONS. Kroger has furnished, or otherwise made available, to Fred Meyer a complete and correct copy of its articles of incorporation (the "Kroger Articles of Incorporation") and its regulation, in each case as amended to the date of this Agreement. The Kroger Certificate of Incorporation and the regulations of Kroger are in full force and effect. Kroger is not in violation of any of the provisions of the Kroger Articles of Incorporation or the regulations of Kroger.
ARTICLES OF INCORPORATION AND REGULATIONS. The Articles of Incorporation and Regulations of Buyer in effect immediately prior to the Effective Time shall be the Articles of Incorporation and Regulations of the Surviving Corporation following the Merger until otherwise amended or repealed.
ARTICLES OF INCORPORATION AND REGULATIONS. The amended Articles of Incorporation, as further amended by the Certificate of Merger, and Code of Regulations of FirstFederal effective immediately before the Effective Time will be the Articles of Incorporation and Code of Regulations of the Surviving Corporation, until duly amended in accordance with the OGCL and their respective terms.
ARTICLES OF INCORPORATION AND REGULATIONS. The Amended and Restated Articles of Incorporation and Code of Regulations of GLB in effect immediately prior to the Effective Time will be the Amended and Restated Articles of Incorporation and Code of Regulations of the Surviving Corporation after the Effective Time, until duly amended in accordance with their respective terms and the OGCL. The Amended and Restated Articles of Incorporation and Code of Regulations of GLB are included herewith in Exhibit 1.1.4.
ARTICLES OF INCORPORATION AND REGULATIONS. The articles of incorporation of the Resulting Corporation will be in substantially the form set forth as Exhibit A attached hereto, until thereafter further changed or amended as provided therein or by applicable law. The regulations of the Resulting Corporation will be in substantially the form set forth as Exhibit B attached hereto, until thereafter further changed or amended as provided by the certificate of incorporation, the regulations or applicable law.
ARTICLES OF INCORPORATION AND REGULATIONS. The Trust acknowledges that the Trust has received and reviewed a copy of the Company’s Third Amended and Restated Articles of Incorporation and Amended and Restated Regulations. The Trust hereby specifically accepts and adopts each and every provision of the said Third Amended and Restated Articles of Incorporation and Amended and Restated Regulations and agrees to be bound thereby.
ARTICLES OF INCORPORATION AND REGULATIONS. (a) At the Effective Time, the Articles of Incorporation of the Surviving Corporation will be those of Merger Sub immediately prior to the Effective Time.
ARTICLES OF INCORPORATION AND REGULATIONS. The Seller will not amend its Articles of Incorporation or Bylaws except as may be required to effectuate the transaction contemplated herein.
