Archival Copy. Licensor shall provide to Licensee upon request, or Licensee may create, one (1) copy of the entire set of Licensed Materials to be maintained as an archival copy. The archival copy from the Publisher shall be provided without any DRM in a mutually agreeable medium suitable to the content, and any fees for provision of copies will be on a time and materials basis only.

Archival Copy. The Distributor shall provide or ensure that the Publisher will provide to the Licensee upon request, or the Licensee may create, one (1) copy of the entire set of Licensed Materials to be maintained as an archival copy. Archival Copy. Upon request of the Licensee and not more than 60 days after the expiration date of the current term of this Agreement, the Licensee may request and receive from Licensor and/or create one (1) copy of the entire set of metadata from the Licensed Materials (including but not limited to PDF images, text files, XML, XML schema) to be maintained as an “Archival Copy” or as required to exercise the Licensee’s rights under Section IX, “Permanent Archival Access/Dark Archiving”, of this Agreement. The Licensee may use the metadata to develop its own locally-hosted version of the Licensed Materials on the condition that the use of that local copy continues to comply with this Agreement, in which case obligation to pay hosting fees shall cease. Clause (2) Section IV: Licensor Performance Obligations:
Archival Copy. Customer shall not copy the Software, except for one backup or archival copy or as necessary for installation on the Server(s). Customer shall not rent, lease, sublicense, transfer, provide, disclose or otherwise make the Software available to any third party. Customer shall not modify, decompile, disassemble or otherwise reverse engineer the Software, except where (i) rights to do so are required by law and (ii) BA Insight has refused to satisfy any conditions to such rights. Customer shall not remove or modify any copyright, trademark or other marking or any notice of BA Insight’s proprietary rights. Customer shall allow BA Insight, upon reasonable notice, reasonable access to its premises to audit Customer’s compliance with this Agreement.
