As promptly as practicable after the date hereof, the parties hereto shall submit any applications, notices or other filings to any state or federal government agency, department or body, the approval of which is required for consummation of the transactions contemplated hereby. Without limiting the generality of the foregoing, the parties shall use their best efforts to cooperate in good faith (i) to file no later than June 11, 1999 any pre-acquisition notification filings, if required, under the HSR Act with respect to the transactions contemplated hereby, and (ii) to obtain as soon as practicable early termination of any such filings.

CIB shall make all applications, notices and initial publications required by federal and state regulatory authorities within a commercially reasonable time after the date of this Agreement. PNB agrees to use reasonable efforts to assist CIB in obtaining all regulatory approvals necessary to complete the transactions contemplated by this Agreement by providing CIB, with such information concerning PNB and its operations as may be requested by any federal or state authority in connection with any regulatory applications, filings or registrations and, to the extent required by applicable laws, rules or regulations, join in any such application, filing or registration.
