Amendment of Exhibit. A TO THE LIMITED PARTNERSHIP AGREEMENT. Exhibit A to the Limited Partnership Agreement is hereby amended and restated to reflect the aforementioned change(s) by deleting Exhibit A attached thereto in its entirety, and by attaching in lieu thereof a replacement exhibit in the form of EXHIBIT A attached hereto. From and after the effectiveness of this Amendment, the amended and restated EXHIBIT A attached hereto shall be the only Exhibit A to the Limited Partnership Agreement, unless and until it is hereafter further amended.
Amendment of Exhibit. “M”. This Exhibit “M” may be modified or amended at any time without amendment of the Contract, but only by written agreement of the parties.
Amendment of Exhibit. 1 Exhibit 1 of the Agency Agreement is hereby deleted in its entirety, and the following shall be substituted in its place: EXHIBIT 1 – Commissions Regular Commission: [*] Profit Commission: to be paid to The Broker annually by The Company based on the performance of the business for each calendar year, such payment to be made no later than 90 days following the end of the year in which the profit commission is earned. The profit commission shall be equal to 100% of the net profit generated by the business. Net profit for the purpose of this calculation is defined as follows - the gross premium charged to the policyholder, minus the regular commission paid to The Broker, minus premium tax incurred by The Company, minus the stop loss reinsurance premium paid to American Pet Insurance Co, minus claims incurred by The Company (including paid claims plus outstanding claims) minus [*]. Where the net profit for any given year is negative, The Broker will not be eligible for a profit commission for that year. Each calendar year calculation of the profit commission will be updated annually thereafter (and adjusted accordingly) until its third anniversary, when the calculation made at that time will be considered “final” unless an extension is agreed between the parties. Amendment of Exhibit. “C”. The form of JOA attached to the Agreement as Exhibit “C” is hereby deleted and the form of JOA attached hereto as Exhibit “C” is hereby substituted therefor.
Amendment of Exhibit. Subsection 2.1(g) of Exhibit C to the Stock Purchase Agreement, the Assumption Agreement, shall be amended to read as follows: "any liability arising in connection with the termination of employment of any employee of the Company, Seller or Shareholder that arises prior to the Closing." The parties agree that all references in the Stock Purchase Agreement to Exhibit C shall refer to Exhibit C as so amended.
