All Other Action. BC Co shall cooperate fully with the Company and will use all reasonable commercial efforts to assist the Company in its efforts to complete the Acquisition unless such cooperation and efforts would subject BC Co to material cost or liability or would be in breach of applicable statutory and regulatory requirements.
All Other Action. Each Party shall cooperate fully with the other Parties and will use all reasonable commercial efforts to assist the other Parties in their efforts to complete the Business Combination, unless such cooperation and efforts would subject the Party to unreasonable cost or liability or would be in breach of applicable Law.
All Other Action. The Company shall cooperate fully with Purchaser and will use all reasonable commercial efforts to assist Purchaser in its efforts to complete the Acquisition, unless such cooperation and efforts would subject the Company to liability or would be in breach of applicable statutory or regulatory requirements.
All Other Action. The Company shall cooperate fully with Apogee and will use all reasonable commercial efforts to assist Apogee in its efforts to complete the Acquisition, unless such cooperation and efforts would subject the Company to liability or would be in breach of applicable statutory or regulatory requirements.
All Other Action. The Company shall cooperate fully with FogChain and will use all reasonable commercial efforts to assist FogChain in its efforts to complete the Acquisition, unless such cooperation and efforts would subject the Company to liability or would be in breach of applicable statutory or regulatory requirements.
All Other Action. Pubco shall cooperate fully with MJIC and will use all reasonable commercial efforts to assist MJIC in its efforts to complete the Merger unless such cooperation and efforts would subject Pubco to material cost or liability.
All Other Action. CHCI shall cooperate fully with Vaxxinator and will use all reasonable commercial efforts to assist Vaxxinator in its efforts to complete the Business Combination, unless such co-operation and efforts would subject CHCI to liability or would be in breach of applicable statutory or regulatory requirements.
All Other Action. Mira shall cooperate fully with the Company and will use all reasonable commercial efforts to assist the Company in its efforts to complete the Acquisition unless such cooperation and efforts would subject Mira to cost or liability or would be in breach of applicable statutory and regulatory requirements.
All Other Action. Caracara shall cooperate fully with the Company and will use all reasonable commercial efforts to assist the Company in its efforts to complete the Acquisition, unless such co-operation and efforts would subject Caracara to liability or would be in breach of applicable statutory or regulatory requirements.
All Other Action. Each of the Altius Group shall use reasonable commercial efforts to satisfy each of the conditions precedent to be satisfied by it as soon as practical and in any event before the Effective Date, and to take, or cause to be taken, all other actions and to do, or cause to be done, all other things necessary, proper or advisable that are commercially reasonable to permit the completion of the Transaction pursuant to the Amalgamation in accordance with the terms and conditions of this Agreement, and Applicable Laws.
