Acts of Officers as Conclusive Evidence of Authority. Any note, mortgage, evidence of indebtedness, contract, certificate, statement, conveyance, or other instrument in writing, and any assignment or endorsement thereof, executed or entered into between the LLC and any other Person, when signed by an officer of the LLC, is not invalidated as to the LLC by any lack of authority of the signing officer in the absence of actual knowledge on the part of the other Person that the signing officer had no authority to execute the same.

Acts of Officers. The Chairman, Vice Chairman, Secretary, Treasurer and Business Manager of the Authority are hereby jointly and severally authorized and directed to do and perform all things and execute all documents, instruments and certifications in the name of the Authority and to make all payments necessary or, in their opinion, advisable, to enable the Authority to carry out its obligations under the terms of this 2015 Bond Resolution.
Acts of Officers. The officers and agents of the Issuer shall do all acts and things required of them by this First Supplemental Indenture, the Original Trust Indenture and the 2007 Bonds for the complete and punctual performance of all covenants and agreements contained herein and therein.
